Trüb AG sells Winter AG to AEM Technologies Holding AG

Trüb AG of Aarau/Switzerland, has sold its majority holding in Winter AG, Munich/Germany to AEM Technologies Holding AG, St. Gall/Switzerland. The agreement was signed on 30 September 2010 and Winter AG will be integrated into AEM Technologies Holding AG as per the end of 2010.

As already announced in a non-binding declaration of intent in April 2010, Trüb AG conducted negotiations with AEM Technologies Holding AG regarding the sale of its majority holding in Winter AG. The agreement was signed on 1 October 2010 and the sale is due to be concluded by the end of 2010. It was agreed between the parties not to divulge any contractual details.

Winter AG offers products and services in the fields of admission and access solutions, bank and loyalty cards as well as ID solutions in the health sector (e-Health) and is well established as a company on the German market.

Fernando Dal Zotto, delegate of the Board of Directors of Trüb AG explains: “The sale of Winter AG aims to secure the company’s future in the long-term and to further exploit potential. We are certain to have found an optimal solution with AEM in which the customers’, partners’ and employees’ interests will be sustainably safeguarded.“

The Trüb Group will continue to be present on the German market with its subsidiaries IDpendant GmbH, Munich (solutions in the logical access sector) and Cardag Deutschland GmbH, Wutha-Farnroda (solutions in the physical access sector as well as contact-based and contactless card products) and also handle the market independently. The two subsidiaries and Trüb AG will also continue to cooperate with Winter AG and AEM Technologies Holding AG in the future and benefit from synergies in market cultivation.
